About The Role RSM Ireland is seeking a Company Secretarial Consultant to join our dynamic and expanding Consulting Team in a hybrid role based in our Dublin Office. This is an exciting opportunity to be part of a highly successful team, build your technical expertise in company secretarial matters, and support our continued growth. Responsibilities Include

  • Advise and assist clients on compliance requirements under the Companies Act 2014, with support from senior team members as needed.
  • Provide guidance on new legislation relating to company law and corporate governance matters.
  • Support the delivery of company secretarial services across a portfolio of clients, ensuring exceptional client service.
  • Work with senior colleagues to plan and deliver assignments, drafting documentation and supporting reviews as required.
  • Maintain the quality of the client database and support the management of the annual compliance diary.
  • Incorporate companies and draft associated board approval documents, including details of company officers and share capital.
  • Support a range of company secretarial transactions (e.g. share transfers, share allotments, capital reductions, changes of directors, strike off, amendment of Constitutions, share buy-back etc.), including preparation of corporate approvals, Companies Registration Office (“CRO”) submissions and updates to statutory registers.
  • Liaise with lawyers, accountants, listing brokers, investment managers, and regulatory bodies such as the CRO, under the guidance of senior team members where required.
  • Support our Core Function Team on company secretarial matters, contributing to effective and timely delivery.
  • Conduct legal and non-legal research on behalf of clients and other fee earners. 

The Person The successful candidate will ideally have the following skills and qualifications:

  • Holds a degree in business law or corporate governance (Chartered Governance Institute UK & Ireland – CGI).
  • Typically 2 to 4 years’ experience in a company secretarial or corporate governance role (practice or in-house).
  • Proficient in Microsoft Office applications and has excellent IT skills.
  • Experience with company secretarial software (e.g., Relate Company Secretary or Diligent) is preferred.
  • Exceptional written and verbal communication skills with keen attention to detail.
  • Team player who is self-motivated and capable of managing their own workload with appropriate support and supervision.
  • Proactive in ensuring daily, weekly, and monthly tasks are completed on time and meet or exceed targets.
  • Flexible, organised, and performance-focused, with the ability to prioritise and balance business needs.
  • Thrives in a fast-paced environment and is comfortable collaborating with colleagues across service lines.
